Terms and Conditions of Sale

  1. Presentation

These terms and conditions apply to all orders placed on the website https://ombredor.fr/, operated by the sole proprietorship Ombre d'Or, under the name Yohann Michaud, registered under SIRET number 843 103 086 00016, with its registered office located at 139 avenue Gallieni, 94160 Saint Mandé, France.

As a micro business operating under the French VAT exemption scheme (article 293 B of the French General Tax Code), no VAT is applicable to sales.

  1. Purpose

These terms define the rights and obligations of the parties in the context of the online sale of handcrafted products including ceramics, decorative objects, furniture and any other items offered on the website https://ombredor.fr/.

Any order placed on the website implies full acceptance of these terms and conditions.

  1. Products and availability

Products are described with care, including dimensions, materials, colours and estimated production times. As ceramic pieces are handcrafted creations, slight variations between items resulting from the nature of artisanal work shall not be considered defects.

If a product becomes unavailable after an order has been placed, the customer will be informed as soon as possible and may choose between a full refund or a credit valid for 12 months.

Certain pieces are made to order after payment within the timeframes specified on each product page, generally between 3 and 16 weeks. These timelines are indicative only.

  1. Orders

An order becomes final once the cart has been validated, delivery details entered and payment confirmed. A confirmation email is sent to the customer once these steps have been completed.

Ombre d'Or reserves the right to cancel any order in the event of suspected fraud, stock unavailability or obvious pricing errors, after informing the customer.

  1. Prices

Prices are displayed in euros, all taxes included. No VAT is charged or collected under the French VAT exemption scheme (article 293 B of the French General Tax Code). The mention “VAT not applicable” appears on invoices.

Prices may be modified at any time. The applicable price is the one displayed at the time of order validation.

For deliveries outside the European Union, customs duties, import taxes or local fees may apply upon receipt and remain the sole responsibility of the buyer.

  1. Payment terms

Payment is due in full at the time of ordering. Accepted payment methods:

  • Bank card
  • PayPal

No instalment payment option is offered for standard orders. For furniture or bespoke orders of significant value, a 30% deposit may be requested, with the balance due before shipment.

Transactions are secure. Ombre d'Or does not store any banking information.

  1. Shipping

Delivery areas: mainland France, European Union, United Kingdom and selected english speaking countries.

Shipping fees: calculated and displayed at checkout according to destination and package weight.

Delivery times: products in stock are shipped within 7 business days. Made to order pieces require a production time between 3 and 16 weeks, specified on each product page.

Tracking: a shipping confirmation email with tracking information is sent once the order has been dispatched.

Damages: in the event of damage upon delivery, the customer must report reservations to the carrier and contact Ombre d'Or within 48 hours at contact@ombredor.fr with supporting photographs.

Customs duties (outside EU): customs duties and clearance fees remain the sole responsibility of the recipient. Ombre d'Or cannot be held responsible for customs related delays.

  1. Right of withdrawal

In accordance with articles L221-18 and following of the French Consumer Code, private customers have 14 calendar days from receipt of their order to exercise their right of withdrawal without justification or penalties.

To exercise this right, customers must contact contact@ombredor.fr with their order number. Products must be returned in their original condition, complete and carefully packaged. Return shipping costs are the responsibility of the customer.

Refunds are processed within 14 days following receipt of the returned products using the original payment method.

Exceptions: the right of withdrawal does not apply to bespoke pieces, personalised orders or one of a kind pieces already shipped, in accordance with article L221-28 of the French Consumer Code.

  1. Legal warranties

All products benefit from the legal guarantee of conformity under articles L217-4 and following of the French Consumer Code and the warranty against hidden defects under articles 1641 and following of the French Civil Code.

In the event of proven non conformity or defect, the customer may request repair, replacement or refund by contacting contact@ombredor.fr. Minor artisanal variations shall not be considered defects.

  1. Intellectual property – Shop

All elements of the website https://ombredor.fr/, including photographs, texts, logos and images, are protected by copyright and remain the exclusive property of Ombre d'Or. Any reproduction without prior written permission is prohibited.

  1. Presentation

These terms also apply to all interior architecture and design services provided by the micro business Ombre d'Or, under the name Laura Brault, registered under SIRET number 753 581 834 00037, with its registered office located at 116 rue Diderot, 94300 Vincennes, France.

As a micro business operating under the French VAT exemption scheme (article 293 B of the French General Tax Code), no VAT is applicable to service fees.

  1. Purpose

These terms define the rights and obligations of the parties regarding interior architecture services including design, project management, site supervision, consulting and decoration services.

Any signed quotation implies full acceptance of these terms and conditions.

  1. Services offered

Ombre d'Or notably offers:

  • Interior architecture and interior design services including floor plans, moodboards and material and furniture selection
  • Project management and coordination with contractors
  • Site supervision
  • Consulting services billed hourly or at a fixed rate
  • Interior decoration and spatial styling

The exact scope of services is defined in the quotation signed by both parties.

  1. Quotations and contract formation

Each project is subject to a free quotation established following an initial discovery meeting. The contract becomes effective upon receipt of the signed quotation together with payment of the deposit. Any modification to the project must be approved in writing by both parties.

  1. Fees and payment

15.1 Fees: Fees are expressed in euros excluding taxes. No VAT is charged under the French VAT exemption scheme (article 293 B of the French General Tax Code).

15.2 Deposit: A deposit of 30% of the total amount is required upon signature of the quotation before any design work begins. This deposit is non refundable once the project has started.

15.3 Payment schedule: Invoices are issued according to the milestones defined in the quotation. The balance is due upon delivery of the final files or completion of the project.

15.4 Payment terms: Invoices are payable upon receipt and no later than within 15 days. Late payments automatically result in legal penalties and a fixed recovery fee of €40.

  1. Intellectual property – Services

All deliverables including plans, visuals and moodboards remain the property of Laura Brault until full payment of all fees.

Upon full payment, the client is granted a personal and non commercial licence to use the deliverables for their project.

Ombre d'Or reserves the right to use photographs and visuals of completed projects for professional communication purposes including portfolio, website and social media, unless the client objects in writing.

  1. Client obligations

The client undertakes to:

  • Provide all documents and information necessary for the project including plans, technical constraints and required authorisations
  • Appoint a single available contact person
  • Respect approval deadlines in order not to delay the project
  • Inform Ombre d'Or of any changes regarding the brief or budget during the project
  1. Timelines and liability

Project timelines are indicative only and may be affected by delays attributable to the client, contractors or external circumstances.

Laura Brault’s liability is limited to the amount of fees received for the relevant project.

  1. Termination

In the event of termination initiated by the client after the project has begun, completed services will be invoiced proportionally and the deposit shall remain acquired.

In the event of serious breach by the client including non payment or lack of collaboration, Ombre d'Or reserves the right to suspend or terminate the project.

  1. Confidentiality

Both parties undertake to keep confidential all information exchanged within the framework of their business relationship and not to disclose it to third parties without prior consent.

  1. Personal data protection (GDPR)

Personal data collected including name, address, email and phone number are used exclusively for order processing, service management and customer relations in accordance with the General Data Protection Regulation (GDPR).

These data are not shared with third parties without consent except with service providers strictly necessary for the execution of services including carriers and payment platforms.

Clients have the right to access, rectify, delete and transfer their personal data by contacting: contact@ombredor.fr.

  1. Force majeure

Neither party shall be held liable for failure to fulfil their obligations in the event of force majeure as defined by applicable law including strikes, natural disasters, pandemics or transport disruptions.

The affected party shall inform the other party as soon as possible and propose an appropriate solution.

  1. Mediation and dispute resolution

In the event of a dispute, the client is invited to contact Ombre d'Or first at contact@ombredor.fr in order to seek an amicable resolution.

In accordance with articles L616-1 and R616-1 of the French Consumer Code, consumers may refer free of charge to a consumer mediator.

  1. Applicable law and competent jurisdiction

These terms and conditions are governed by French law.

Failing amicable resolution, the competent courts shall be those within the jurisdiction of the registered office of the relevant entity, Saint Mandé for the shop and Vincennes for interior architecture services.
